Terms and conditions

Soloniq · version of 15 October 2026 · English translation — the German version is binding.

1. Scope, provider

These terms apply to all contracts for the use of Soloniq (website soloniq.com, console app.soloniq.com and API api.soloniq.com) between ZANA Technologies GmbH, Heckenrosenweg 1, 76149 Karlsruhe, Germany, Amtsgericht Mannheim HRB 730538 ("Soloniq", "we") and its customers. Customers can be consumers or businesses. Customers' own terms do not apply, even if we do not object to them. Separate contracts may apply to partners who resell Soloniq and to large customers; they take precedence over these terms.

2. Services

Soloniq provides access through an API to AI language models running on servers in the EU, and a console to manage the account, keys, budgets, credit and invoices. The models available and their prices are listed at soloniq.com/models. We may add, replace or remove models where this is reasonable for the customer; aliases such as soloniq/agent may be switched to other models.

AI models generate output automatically. It can be wrong, incomplete or inappropriate. The customer checks output before using it and is responsible for its use. We do not owe any particular quality or accuracy of output.

We aim for high availability but do not owe any particular availability unless agreed separately. Maintenance, disruptions at model providers and events beyond our control can cause interruptions.

3. Account and contract

The customer registers with an email address and creates an account. Creating the account concludes a free framework contract for the use of Soloniq. Each credit top-up is a separate paid contract, concluded when the payment completes. The customer gives true and complete information, in particular billing details, and keeps it up to date.

API keys are confidential. The customer keeps them safe, uses them only on servers and not in browser or app code, and blocks or rotates a key immediately if it may have become known to others. All use with an account's keys is attributed to that account.

4. Prices, prepaid credit, payment

Usage is charged per token according to the price list, at the price of the model that actually answered the request. Prices for businesses exclude VAT; for consumers we show prices including VAT. Soloniq is prepaid: usage is deducted from the account's credit. When the credit or a budget set by the customer is used up, further requests are refused; no additional charges arise.

Credit is topped up by PayPal or bank transfer, at least €30. For PayPal payments we charge a payment fee of 2.5% of the amount topped up. The customer receives an invoice for every payment. Credit earns no interest, cannot be transferred and can only be used for Soloniq. Price changes apply to usage after they are published in the price list; existing credit keeps its euro value.

5. No refunds

Credit that has been topped up is not refunded or paid out, including when the customer closes the account. This does not apply where mandatory law provides otherwise, in particular the statutory right of withdrawal of consumers (section 9). If we terminate the account without good cause, we refund unused credit.

6. Acceptable use

The customer does not use Soloniq for unlawful purposes, in particular not to create or spread unlawful content, infringe the rights of others, develop malware, deceive or harass people, or circumvent security measures, limits or budgets. The customer observes the licence terms of the models insofar as they apply to users. Where there are concrete indications of a breach or a risk to Soloniq or others, we may temporarily block keys or the account; we inform the customer.

7. Data and data loss

Prompts, files and replies are processed only to handle the request and are stored neither by us nor by the model providers. We therefore do not back up any customer content. The customer is responsible for saving and backing up inputs, outputs and any other data they want to keep. How we process personal data is described in the privacy policy; for businesses that process personal data through Soloniq we conclude a data processing agreement on request.

8. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee given. For slight negligence we are liable only for breach of an essential contractual obligation — one whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment the customer may regularly rely — and then limited to the damage typical for the contract and foreseeable when it was concluded. Otherwise liability is excluded, in particular for data loss, for the content and consequences of AI output and for interruptions of availability.

Towards businesses, liability for slight negligence is additionally limited to the fees the customer paid in the twelve months before the event causing the damage. For loss of data we are in any case liable only to the extent that would have arisen had the customer backed up its data properly. These limitations also apply in favour of our staff and agents.

9. Right of withdrawal for consumers

Consumers have a statutory right of withdrawal for credit top-ups:

Withdrawal information

Right of withdrawal. You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day the contract was concluded. To exercise your right of withdrawal, you must inform us (ZANA Technologies GmbH, Heckenrosenweg 1, 76149 Karlsruhe, Germany, email: info@zana.ai) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or an email). You may use the model withdrawal form below or the withdrawal function in the console (Credits & invoices), but this is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication before the withdrawal period has expired.

Effects of withdrawal. If you withdraw from this contract, we shall reimburse all payments received from you without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. If you requested that the services begin during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated to us your withdrawal from this contract, in comparison with the full coverage of the contract.

Expiry of the right of withdrawal. The right of withdrawal expires when we have fully performed the service — that is, when the credit is fully used — and you expressly agreed before the start and acknowledged that you lose your right of withdrawal once the contract has been fully performed.

10. Term and termination

The customer can close the account at any time by asking us at info@zana.ai. We can terminate the contract with four weeks' notice. Both parties' right to terminate for good cause remains unaffected; good cause for us exists in particular in the case of serious or repeated breaches of section 6.

11. Changes to these terms

We may change these terms for the future where this is necessary for legal, technical or economic reasons and does not unreasonably disadvantage the customer. We announce changes by email at least four weeks before they take effect. If the customer does not object before they take effect, the changes are deemed accepted; we point this out in the announcement. If the customer objects, either party may terminate the contract as of the date the changes take effect; in that case we refund unused credit.

12. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the country where they habitually reside. If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Karlsruhe. The contract languages are German and English; in case of discrepancies the German version prevails. We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board. If any provision of these terms is invalid, the validity of the remaining provisions is unaffected.
